12. Force Majeure

PORTNOVA TRADE PRIVATE LIMITED shall not be held liable or responsible for any failure or delay in performance of our obligations arising out of or caused by events beyond our reasonable control. Such events may include, but are not limited to:

• Acts of God (natural disasters, earthquakes, floods, storms)
• Pandemics, epidemics, or public health emergencies
• War, terrorism, civil unrest, or riots
• Strikes, lockouts, or labor disputes
• Government restrictions, regulations, or interventions
• Power failures or disruptions in communication systems
• Internet service provider failures or cyber attacks

During such Force Majeure events, our obligations shall be suspended for the duration of the event, and we shall make reasonable efforts to resume services as soon as practicable. We will notify users of any significant disruptions when possible.

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising out of or relating to these terms shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal, India.

You agree to submit to the personal jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts or to the venue of any proceeding in such courts.

14. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to the use of our platform or services, the following dispute resolution process shall apply:

Step 1: Mediation

Parties shall first attempt to resolve the matter amicably through good-faith discussions and mediation within 30 days of the dispute arising.

Step 2: Arbitration

If mediation fails, the dispute shall be referred to arbitration under the provisions of the Arbitration and Conciliation Act, 1996. The arbitration proceedings shall be conducted in English, and the venue shall be Kolkata, India. The decision of the arbitrator shall be final and binding on both parties.

Step 3: Courts

Subject to the above arbitration clause, the courts located in Kolkata, India, shall have exclusive jurisdiction over any disputes, and Indian law shall apply.

15. Grievance Officer

In accordance with the Information Technology Act, 2000 and Consumer Protection (E-Commerce) Rules, 2020, we have appointed a Grievance Officer to address user complaints:
